1) Agreement to Terms
These Terms & Conditions (“Terms”) are a legal agreement between you and KCG Search (“KCG Search,” “we,” “us,” or “our”) governing your access to and use of [kcgsearch.com] and any pages, forms, microsites, emails, or services that link to these Terms (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The Site is intended for U.S. users age 18+. Access from other jurisdictions is at your own initiative and risk, and you are responsible for local law compliance.
We may update these Terms at any time by posting a revised version with the “Last Updated” date. Your continued use of the Site means you accept the revised Terms.
2) About Our Services (No Employment Guarantee)
KCG Search provides U.S. recruiting services focused on executive, finance, and marketing roles. The Site allows candidates to express interest, submit résumés, and for clients to contact us. We do not guarantee interviews, offers, compensation, or employment outcomes. All hiring decisions are made by the applicable employer/client, not KCG Search.
3) Privacy
Your use of the Site is also governed by our Privacy Policy (incorporated by reference). By using the Site, you consent to the practices described there.
4) Intellectual Property & License to Use the Site
All Site content—including text, designs, trademarks, logos, graphics, photos, videos, software, layouts, and compilation (collectively, “Content”)—is owned by or licensed to KCG Search and protected by U.S. and international IP laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. Except as expressly allowed in these Terms, you may not copy, distribute, modify, create derivative works, publicly display, or exploit the Content without our prior written consent. All trademarks are the property of their respective owners.
5) Acceptable Use
You agree not to:
- Use the Site for unlawful, harmful, deceptive, harassing, or infringing activity;
- Access or attempt to access non-public systems, data, or accounts;
- Introduce malware or interfere with security or operation of the Site;
- Scrape, crawl, spider, or data-mine the Site without our express written permission;
- Misrepresent your identity, qualifications, or affiliation;
- Use the Site to compete with us or advertise third-party goods/services; or
- Collect personal information about others except as permitted by law and our Privacy Policy.
We may monitor the Site and suspend or terminate access for violations.
6) Your Submissions; Accuracy; Limited License to KCG Search
If you submit information (e.g., résumé/CV, cover letters, references, job requirements, contact details, messages, files), you represent you have all necessary rights, and that the information is true, accurate, current, and complete. You grant KCG Search a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to host, store, reproduce, process, and use your submissions solely to provide recruiting and related services, operate the Site, communicate with you, and comply with law, as outlined in our Privacy Policy.
If you create login credentials, you are responsible for safeguarding them and for all activities under your account. Notify us promptly of unauthorized access.
7) Third-Party Services & Links (including ATS)
The Site may link to or interoperate with third-party websites, platforms, or tools (e.g., applicant tracking systems, form processors, analytics). We do not control and are not responsible for third-party content, availability, security, or policies. Your use of third-party services is governed by their terms and privacy policies. We are not liable for third-party acts, omissions, outages, or decisions.
8) No Professional Advice
Content on the Site is for general informational purposes only and is not legal, financial, HR, or other professional advice. You should obtain advice specific to your situation.
9) Changes; Availability; Maintenance; Beta Features
We may modify, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee continuous, error-free, or secure operation. From time to time we may offer beta or trial features “AS IS,” which may be withdrawn without notice.
10) Disclaimers (Strong “AS IS”)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KCG SEARCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL COMPONENTS, OR MEET YOUR NEEDS.
11) Limitation of Liability (Tight Cap)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KCG SEARCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR THE PORTION OF THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT.
Some jurisdictions do not allow certain limitations; some of the above may not apply.
12) Indemnification
You agree to defend, indemnify, and hold harmless KCG Search and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your submissions; or (d) your violation of any third-party rights or law.
13) DMCA / Copyright Complaints
If you believe content on the Site infringes your copyright, send a notice including: (i) description of the copyrighted work; (ii) URL/location of the allegedly infringing material; (iii) your contact info; (iv) a statement of good-faith belief; (v) a statement that the information is accurate and you are the owner/authorized agent; and (vi) your physical or electronic signature. We may remove or disable access in our discretion.
14) Force Majeure
We will not be liable for any delay or failure due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, utility or internet failures, supply chain issues, third-party platform outages, or governmental actions.
15) Export & Sanctions Compliance
You agree to comply with all U.S. export control and sanctions laws and not to use the Site in or for the benefit of any embargoed countries or restricted parties.
16) Termination; Survival
We may suspend or terminate your access at any time, with or without notice, for any reason. Upon termination, all licenses granted to you end immediately. Sections 4–6 and 8–22 survive termination.
17) Time Limit to Bring Claims
To the fullest extent permitted by law, any claim arising out of or relating to the Site or these Terms must be filed within one (1) year after the cause of action accrues, or it is permanently barred.
18) Binding Arbitration; Class-Action Waiver (Strong Risk Control)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
(a) Informal Resolution. Before filing a claim, the party must first send a written notice to the other describing the dispute and relief requested. We will try to resolve the dispute informally within 30 days.
(b) Arbitration. If not resolved, any dispute, claim, or controversy arising out of or relating to the Site or these Terms shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (and, where applicable, its Consumer Rules). The arbitration will take place in Orange County, California (or by video/teleconference upon mutual consent). The arbitrator shall apply California law and issue a reasoned award.
(c) Class-Action Waiver. You and KCG Search agree that arbitration will be conducted only on an individual basis and not in a class, consolidated, representative, or private attorney general action. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
(d) Small-Claims & Injunctive Relief. Either party may bring an individual action in small-claims court. Either party may seek temporary or preliminary injunctive relief in court to protect IP or confidential information pending arbitration.
(e) Fees. Payment of arbitration fees will be governed by AAA rules. If the arbitrator finds your claims are frivolous, you agree to reimburse our fees to the extent permitted by law.
If this Section 18 is found unenforceable as to a particular claim or request for relief, then that claim or request shall proceed in court and the remainder shall proceed in arbitration.
19) Governing Law & Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to Section 18, the exclusive venue for any permitted court action is the state or federal courts located in Orange County, California, and you consent to their jurisdiction and venue. You waive any right to a jury trial to the extent permitted by law.
20) Miscellaneous
- Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and KCG Search regarding the Site.
- Severability. If any provision is unenforceable, it will be enforced to the maximum extent possible and the remainder will remain in effect.
- No Waiver. Our failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms without our consent; we may assign them without restriction.
- Notices. We may provide notices via the Site, email, or mail.
- No Agency. These Terms do not create a partnership, joint venture, or employment relationship.
